The policy of appointing the Mayor of Batam as Head of the Batam Business Agency (BP) ex-officio raises legal and governance issues that are contrary to the principles of regional autonomy and good governance. This article aims to analyze the legality of the policy and its impact on the decentralized legal system in Indonesia. Using normative legal research methods with statutory, historical, and conceptual approaches, this study finds that the ex-officio policy violates the provisions of Article 76 of Law No. 23 of 2014, creates overlapping authority, and weakens public accountability. The case study of Rempang and a comparison with the Tanjung Lesung Special Economic Zone show the importance of institutional reformulation of BP Batam to be more democratic, participatory, and in accordance with the principles of the rule of law. This study recommends revision of related regulations and strengthening of oversight mechanisms and public participation in policy making.
